Tool Squire Terms of Service

This Terms of Service Agreement (“Agreement” or “Terms”) is a legally binding contract between you (“User,” “you,” or “your”) and Tool Squire LLC (“Tool Squire,” “we,” “us,” or “our”) governing your access to and use of the Tool Squire website, marketplace, and mobile applications (collectively, the “Service”). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree with these Terms, you must not use the Service.
1. Definitions
- Marketplace – The platform where Users can list, buy, sell, and rent tools and equipment.
- Buyer – A User purchasing or renting a listing on the Marketplace.
- Seller – A User listing tools for sale or rent on the Marketplace.
- Tools and Equipment – All items listed for sale or rent on the Marketplace.
- Rental Protection Plan – Optional coverage offered on rental transactions as described in Section 8.
2. Acceptance of Terms
By using the Service you agree to these Terms and all referenced policies (including the Privacy Policy). You also affirm that you are at least 18 years old and have the authority to enter into a contract.
3. Account Registration and User Obligations
3.1 - You must provide accurate, current, and complete information to create an account, and promptly update it if it changes.
3.2 - You are responsible for maintaining the confidentiality of your login credentials.
3.3 Tool Squire may suspend or terminate accounts that violate these Terms.
3.4 Identity verification is required before renting, buying, or selling tools.
4. Listing Tools for Sale or Rent
4.1 Sellers must ensure listings contain truthful descriptions, accurate condition disclosures, and clear photos.
4.2 Tools must be legally owned by the seller and comply with all applicable laws.
4.3 Sellers are responsible for any legal obligations regarding the sale or rental of their tools.
4.4 Prohibited items (illegal, unsafe, or restricted per law) are not permitted on the Marketplace.
5. Transactions
5.1 All buy/sell transactions are contracts directly between Buyer and Seller.
5.2 Tool Squire facilitates payment processing via third-party services and does not hold funds as a bank.
5.3 Sellers set their own prices; Tool Squire collects applicable fees.
5.4 In rental transactions, tools are rented on a daily basis only (no hourly rentals unless specified).
5.5 Tool Squire does not warrant or guarantee the performance or legal compliance of tools sold or rented through the Marketplace.
6. Risk, Assumption of Liability and Waivers
6.1 All purchases and rentals are at your own risk.
6.2 Tool Squire is not liable for any injury, death, property damage, or loss arising from the use, ownership, handling, storage, or operation of any tool purchased or rented, whether or not safety instructions were followed.
6.3 You agree to release and waive claims against Tool Squire, its affiliates, officers, employees, and agents for any such claims to the fullest extent permitted by law.
6.4 This release is intended to be as broad and inclusive as permitted under U.S. law.
7. Optional Rental Protection Plan
7.1 Tool Squire offers an optional Rental Protection Plan for rental tools.
7.2 This plan may cover accidental damage subject to specific terms and exclusions. You must purchase this plan at checkout.
7.3 Participation in the plan does not relieve you of liability for negligence, intentional acts, or prohibited use.
8. User Conduct and Prohibited Activities
8.1 You must not use the Service for fraudulent activities, unlawful purposes, or attempting to manipulate, disrupt, or abuse the Marketplace.
8.2 Users engaging in prohibited conduct may be immediately banned, reported to law enforcement, and liable for damages.
8.3 You may not create accounts for other individuals without permission, falsify identity, or evade enforcement mechanisms.
9. Intellectual Property 9.1 You retain ownership of content you upload (e.g., photos, descriptions), but grant Tool Squire a worldwide, royalty-free license to use it.
9.2 Users must respect copyrights and trademarks of others; infringing content may be removed.
9.3 DMCA takedown procedures apply for copyrighted material.
10. Dispute Resolution and Governing Law 10.1 These Terms are governed by the laws of the United States and applicable state laws.
10.2 Where permitted, disputes not resolved informally may be resolved by binding arbitration in accordance with the rules of the American Arbitration Association (AAA).
10.3 Users waive the right to participate in class actions to the extent permitted by law.
10.4 You also retain the right to seek relief in small claims court for qualified disputes.
11. Limitation of Liability 11.1 Tool Squire’s total liability is limited to the greater of (a) the total payments you made in the past 12 months; or (b) $100.
11.2 Tool Squire is not liable for indirect, incidental, special, or consequential damages.
11.3 Some states do not allow limitations of liability; in those cases, the maximum liability will be the highest permitted by law.
12. Warranty Disclaimer
12.1 The Service is provided “AS IS” and “AS AVAILABLE.”
12.2 Tool Squire disclaims all warranties, express or implied (including merchantability, fitness for a particular purpose, and non-infringement).
12.3 Federal law (e.g., Magnuson–Moss Warranty Act) governs how warranties are offered on consumer products, but Tool Squire does not itself offer product warranties unless clearly documented.
13. Taxes and Compliance
13.1 Users are responsible for any sales or use taxes, VAT, or other applicable taxes on transactions.
13.2 Sellers must comply with local licensing, permit, and tax obligations related to sales and rentals.
